Company Background

When was ISE launched?
ISE launched operations on its options exchange on May 26, 2000, becoming the first registered exchange approved by the U.S. Securities and Exchange Commission since 1973.

Who founded ISE?
In 1997, William A. Porter, then-Chairman of E*TRADE, and his colleague, Marty Averbuch, engaged David Krell and Gary Katz, former executives of the New York Stock Exchange’s options division, to examine the feasibility of developing a new U.S. options exchange. In order to support the creation of a new exchange, Mr. Porter and Mr. Averbuch used their collective expertise and relationships within the securities industry to form Adirondack Trading Partners LLC, or ATP, in 1997. ATP was a consortium of broker-dealers and other investors whose purpose was to arrange financing for the development of ISE and, ultimately, to create order flow for the new exchange. The initial capital contributed by ATP was used to assemble the technology, technical and market expertise and regulatory staff fundamental to the creation of a new securities exchange.

Why was ISE started?
ISE was founded on the principle that technology fosters and infuses new efficiencies and operational innovations into securities trading. After developing a market structure that integrates auction market principles into a screen-based trading system, we launched the first fully electronic U.S. options exchange in May 2000. By creating a new market structure and eliminating the high overhead costs associated with a traditional floor exchange, we have been able to attract significant trading volume. Our exchange provides a trading platform in listed equity options and related services that are designed to provide transparency, reduced execution fees, tighter markets and faster execution for our customers.

Where are ISE’s headquarters?
ISE is headquartered at 60 Broad Street, New York, NY 10004.

When does ISE’s fiscal year end?
ISE’s fiscal year ends on December 31.

When did ISE reorganize into a holding company?
On September 1, 2006 ISE adopted a new holding company structure with the formation of a new parent company, International Securities Exchange Holdings, Inc. (ISE Holdings). As part of the restructuring, International Securities Exchange, Inc. (ISE, Inc.) merged into a newly formed entity, the International Securities Exchange, LLC (ISE, LLC), a wholly owned subsidiary of ISE Holdings. ISE, LLC continues to conduct the business operations of the exchange. Stockholders of ISE, Inc. approved this corporate restructuring on August 16, 2004 and February 3, 2005, and were not required to take any action as a result of the reorganization.

Why did ISE reorganize into a holding company?
The holding company organizational structure enables ISE to better compete and further expand its businesses in an ever-increasingly competitive environment. The new structure provides added flexibility to grow the businesses organically and through alliancquisitions if such opportunities are identified.

When was ISE acquired by Eurex?
Eurex completed its acquisition of ISE on December 19, 2007. ISE operates as an independent subsidiary of Eurex under the ISE brand and management and is regulated by the SEC as a registered national securities exchange.

Is ISE a publicly traded company?
No. Following the completion of the acquisition by Eurex on December 19, 2007, ISE delisted from trading on the NYSE. Prior to the acquisition, ISE traded on the NYSE under the ticker symbol ISE from March 9, 2005 – December 18, 2007.

Eurex, a leading global derivatives exchange, is jointly owned by Deutsche Börse Group and SIX Swiss Exchange AG.
